Buying or Selling Your Business

The Firm’s attorneys have acted as lead attorneys in transactions involving the purchase or sale of businesses—from assisting in the purchase of 31 chemical companies across the nation, Mexico and Canada—to the sale and purchase of every type of business entity. These include manufacturing, retail sale, medical and dental offices, distributors, association management, time share management, developers, construction and new and used vehicle dealerships.

Structuring Relationships

Creating business entities such as joint ventures, partnerships and limited liability companies, and structuring contractual relationships, to own, operate, govern and manage commercial real estate for our investor, owner/user, property manager, and association clients.

New Vehicle Dealership Specialty

Starting in 1984, with the representation of all of the MacPherson new vehicle dealerships, the Firm has specialized in the needs of owners of new motor vehicle dealerships. In addition to advising new motor vehicle dealership, we have negotiated with all of the vehicle manufacturers, set up and reorganized the dealership entities, provided advice on the daily operations and laws governing the sale, rental, lease, financing, and repair of motor vehicles.

Advising New Motor Vehicle Associations

The Firm represents and provides advice to most of the new motor vehicle non-profit associations in Orange County and the Auto Show.
